BYLAWS OF THE LINCOLN COUNTY ARTS COUNCIL, Inc.
ARTICLE I: NAME The legal name of this organization shall be the Lincoln County Arts Council, Inc. (a Tennessee Corporation) referred to as the "Council" in these Bylaws.
ARTICLE II: PURPOSE The purposes for which the council is organized are: A. To contract for and present musical, dramatic and dance programs of a classic or classical nature as well as speakers on various topics at venues in and around Fayetteville; B. To stimulate and encourage throughout Lincoln County and the surrounding area the presentation of such programs and the public interest and participation therein; C. To encourage participation in the programs to meet the needs and aspiration of persons in all parts of the surrounding area; D. To take such steps as may be necessary and appropriate to expand public interest in such programs; E. To serve as a central agency through which individual and corporate/business funds are sought for performances and programs; F. To support music studies and programs in local schools by presenting musical programs or purchasing of needed music-related items.
ARTICLE III: COUNCIL COMPOSITION
Section 1. Members “Members” of the Council are those persons who support the activities of the Council by volunteering their time by regularly attending meetings of the Council and by participating in, planning and producing Council-sponsored events. Membership carries no requirement of monetary contribution to the Council, only a regular and consistent contribution of time and energy. Persons may remain Members for as long as they are active in the Council. There is no limit to the number of Members.
Section 2. Friends "Friends” of Council are those members of the community who support the activities of the Council by their attendance at Council-sponsored events, their monetary contributions, and their occasional contributions of time and energy. Additionally, friendship monetary contribution is recognized at several levels as indicated in the attached Recognition/Fees List.
ARTICLE IV. BOARD OF DIRECTORS
Section 1. Number and Selection of Directors The Board of Directors, referred to as “Board” in these Bylaws, shall consist of not more than 7 Council Members, and shall be elected by and from the Members of the Council.
Section 2. Terms of Office A Director’s full term shall be for one year. In the event of a vacancy on the Board, the Nominating Committee shall suggest one or more candidates for the vacated office. The candidate(s) will be presented at a regularly scheduled meeting of the Council, and the Members shall elect a replacement for the vacancy at the next regularly scheduled meeting thereafter. After the Nominating Committee presents it’s candidate(s), Members may suggest additional candidates for consideration. In the event that a member of the Board fails to attend three consecutive regularly scheduled meetings of the Council, or fails to attend at least seven meetings in a fiscal year, that membership in the Board shall be terminated, and a replacement chosen as provided for above. Section 3. PowersA. General Powers: The Board shall have all the usual powers of directors of a business corporation and the immediate government and direction of affairs of the Council. They shall make all rules and regulations that they deem necessary or proper for the government of the Council and for the orderly conduct of it’s affairs and the management of it’s property consistent with the Bylaws of the Council. B. Co-sponsorship with other Organizations: Joint Programs or Projects between the Council and other organizations shall require the following conditions:
Section 4. Meeting and Voting The Council shall have regular meetings at least once a month and/or as it shall from to time to time determine. These meetings shall be conducted according to the Robert’s Rules of Order Revised. The Council will elect officers, by secret ballot, for the coming year at the May meeting at such time and place as the President may designate. In addition, the Council may have special meetings at any time upon a call of the President or any three Directors. At all meetings of the Council, business shall be transacted by a majority of Members present and any action taken shall be deemed the action of the full Council. A quorum for these meetings shall consist of four Officers or a simple majority of Members present. A new Member may vote on issues raised at council meetings after attending two consecutive meetings, that is, at the third meeting. This insures that new Members are well versed in current Council issues before being granted voting rights. If Members fail to attend three consecutive meetings, their voting rights will be suspended until they have again attended three consecutive meetings. Again, this attempts to insure that Members are well versed in current Council issues.
ARTICLE V: OFFICERS
Section 1. NumberThe officers shall be; President, Vice President, 2nd Vice President, Secretary, Treasurer, Corresponding Secretary and Historian. These officers shall assume their duties at the first meeting of the following season. The Council shall elect them for a term of one year and they shall serve until their successors are duly elected and qualified. Upon election, all officers automatically become members of the Board. No officer shall serve in that capacity more than five consecutive terms. The Council shall fill any vacancy in office during a term as soon as possible, preferably at the next regular meeting. Section 2. DutiesThe general duties of the officers shall be such as usually pertain to their respective offices, or as assigned to them by the Board. Specific duties are shown in the attached Duties of Officers list, the contents of which may be changed at any regular or special meeting by 2/3rd vote of the Council members present at that meeting. The President shall serve as Chairperson of the Board. Section 3. Other Officers The Board shall have the power to appoint such subordinate officers, employees, or agents as may be necessary in their judgment for the conduct of the business of the Council, and designate their titles and compensations, if any. To this end, the Board may engage a director or administrator who shall help formulate and carry out policies approved by the Board and, subject to the Board’s approval, enter into all contracts required for the conduct of the business of the Council. Section 4. Responsibilities The officers and members of the Board shall use their best efforts to carry out in good faith the purposes and exercise the powers expressed in these Bylaws of the Council in such manner as to further the aims of the Council for the benefit of all citizens of Lincoln County, Tennessee, and its surrounding areas. In the event Officers or Board members cannot or do not meet their responsibilities they may be removed from their position by a 2/3 vote of Members present. The vacancy created shall be filled as provided for above.
ARTICLE VI: COMMITTEES Section 1. Nominating Committee At the 1st meeting in the third quarter of the fiscal year, the President shall appoint a nominating committee, with the approval of the Council, to serve for a term of one year. The Committee shall entertain suggestions, including those offered from the floor, for officers and directors of the Council for the following year and propose candidates to be voted upon by the Council at the next monthly meeting. Also, to assist the Membership in filling any vacancies that might occur during the year, the committee may recommend candidates. Section 2. Other Committees The President may appoint, with the approval of the Board, such other standing or special Committees as may be required from time to time to assist the Council.
ARTICLE VII: REPORTS Section 1. Fiscal Year The fiscal year shall begin on the first of July and end on the thirtieth of June. Section 2. Audit At the option of the Board the accounts of the Treasurer shall be audited by a Certified Public Accountant, appointed by the Board, at the end of each fiscal year, and at such other times as are deemed by the Board to be expedient. Section 3. Financial Reports The results of such audit shall be reported to the Council by the Treasurer at least once annually and transmitted by the Secretary to the members of the Board. Additional reports shall be made available to the Board in such form and at such time as may be requested. Section 4. Annual Report. The President shall present an annual report to the Council, reviewing the year ended and making such forecast for the year approaching as may be reasonable.
ARTICLE VIII: RESTRICTED FUNDS The Board may from time to time set aside funds from the Council’s general funds for special purposes. If not used as originally intended these funds shall be returned to the Council’s general funds. The Treasurer need not maintain a separate account for these funds; however, they should be reported separately to the Council. An example of this usage could be the purchase of music related items.
ARTICLE IX: AMENDMENT These Bylaws may be amended by 2/3rd vote of the Council members present at any meeting of the Council, but no amendment shall be in order at any meeting unless at least 30 days’ written notice of the nature of the proposed amendment and the date of voting on the amendment shall have been given by mail to all members. Notice of proposed amendments may also be given at a previous regularly scheduled Council meeting. The 30 days’ notice requirement may be waived if the Board calls a special meeting, and these Bylaws may be amended by 2/3rd vote of the Council members present at that special meeting. Also, the attached Recognition/Fees List's contents may be changed at any regular or special meeting by 2/3rd vote of the Council members present at that meeting.
ARTICLE X: DISSOLUTIONIn the event of dissolution of the Lincoln County Arts Council, Inc., remaining assets after the satisfaction of all obligations of the Council shall be distributed as is determined by a majority of members present at the last meeting for the purposes within the scope of Internal Revenue Service Code 50l (c) (3), or amendments thereof. Duties Of OfficersPresidentA. Preside at all Council meetings. B. Appoint committees and committee chairpersons, and make interim appointments as needed with the approval of the Board. C. Sign all contracts with the approval of the Board. D. Serve as an ex-officio member of all committees. E. Call special meetings as necessary. Vice PresidentA. Serve as the President’s assistant. B. Perform other duties as delegated by the president or the Board. 2nd Vice PresidentA. Assist the president as requested and preside at meetings in the president's absence. SecretaryA. Record and maintain minutes of pertinent information from each Council meeting. B. Maintain attendance records for all Council meetings. C. Provide advance notification to members of regular and called meetings. D. Notify the Tennessee Secretary of State of any changes to the Articles of Incorporation (Annual Report). Treasurer A. Maintain adequate records of all financial data pertaining to the Council and present a summary report of the same to the members during regularly scheduled meetings. B. Maintain appropriate bank accounts. C. Make all disbursements (with the approval of the Board). D. Maintain a current database on active, inactive and potential members.
